The article analyzes the model of Shared Management of R & D between Petrobras and the Federal University of Rio Grande do Norte according to the theories of Resource Dependence and Interorganizational Networks. This system is a technological partnership aligned to the triple helix model, where knowledge is being built through the interaction of firm & university & government. The partnership encouraged by the Petroleum Law, is coordinated by the Research Center of Petrobras and served as a model for the creation of thematic networks of Petrobras. Those networks develop the researches that for some reason cannot be performed by the company's own structure and acts in a complementary way to its internal processes of R & D. The article also presents the history of the relationship between a business-technology based firm with an academic organization. Also are presented some theoretical considerations on the model meanwhile are suggested some points for improvement.
